This Digital Channel Partner Agreement ("Agreement") is made between:

DILIGENT ENTERPRISES, a firm having its office at the above-mentioned address (hereinafter referred to as "Company"), and

The Applicant, whose details are submitted via the official Channel Partner Online Registration Form hosted on the Company's digital platform (hereinafter referred to as the "Channel Partner").

1. ACKNOWLEDGEMENT & ACCEPTANCE

By submitting the online Channel Partner Registration Form and digitally agreeing to the terms, the Channel Partner acknowledges:

• They have read, understood, and agreed to be bound by this Agreement.
• This Agreement is legally valid and enforceable under the Information Technology Act, 2000, and other applicable laws governing electronic records.

2. DIGITAL SUBMISSION & DOCUMENTATION

The Channel Partner must upload the following documents while submitting the online registration:

• PAN Card
• GST Certificate (if applicable)
• RERA Registration Certificate
• Company Profile
• Authorized Signatory ID Proof

No physical signature or company seal is required. This Agreement becomes effective upon approval of the registration by the Company.

3. ENGAGEMENT TERMS

• The Company appoints the Channel Partner on a non-exclusive and principal-to-principal basis to promote and facilitate the sale of its properties.
• This appointment is limited to the territory of India, unless mutually agreed otherwise in writing.

4. TERM & RENEWAL

• This Agreement is valid for 1 year from the date of approval by the Company.
• It will be auto-renewed for another year unless terminated by either party with 30 days' written notice.

5. SCOPE OF WORK

• The Channel Partner shall only bring prospective buyers. All commercial negotiations, agreements, and documentation with customers shall be carried out exclusively by the Company.
• No CP is allowed to collect money, promise discounts, or sign documents on behalf of the Company.
• Lead registration must be done at least 1 hour prior to the first site visit.
• The CP must accompany the client on the first site visit.

6. PROFESSIONAL CHARGES (BROKERAGE)

• Commission will be paid as per Annexure A, typically 2% of the Basic Sale Price, within 90 days of the first bank disbursement, subject to sale closure.
• No payment is applicable if:
  • The customer is an existing lead in the Company's database.
  • The customer visited the site before lead registration.
  • The booking is canceled.
• Additional slabs of 3% are applicable for CPs closing 3 or more sales.

7. PRICING & PAYMENTS

• All bookings shall follow the official Pricing Schedule shared by the Company.
• Payments must be made to the Company through authorized banking channels only.
• No CP is authorized to offer discounts or incentives unless pre-approved in writing by the Company.

8. COMPLIANCE

• The CP must be a registered Real Estate Agent under RERA and must provide the registration number.
• Any violation or misconduct (like false commitments or customer misguidance) will result in immediate termination of the agreement.

9. MODIFICATIONS

The Company reserves the right to amend or modify the terms of this agreement at any time. The updated terms will be communicated digitally via email or official notification.

10. LEGAL JURISDICTION

This Agreement is governed by the laws of India and is subject to the jurisdiction of courts in Bengaluru, Karnataka.
